INTRODUCTION

Avvie, Inc. d/b/a Offerwell ("Offerwell," "we," "us," or "our") may collect information through our website at www.offerwell.com ("Website"). This information may include, but is not limited to, information such as your name, email address, phone number and other contact information you may provide to us in order for us to provide a service that you have requested, as well as information that may be automatically collected by your browser or computer, such as the IP address from which you are accessing the Website and certain activity on the Website, such as your username and password ("Personal Information"). This privacy policy ("Privacy Policy") describes how we may collect, use, and disclose your Personal Information when you use our Website.

COLLECTION OF INFORMATION

In connection with your use of the Website, we may collect "Personal Information" such as your name, email address, or other information, including but not limited to the name of your employer, the name, address, and phone number of your client, and other transactional information you may upload to the Website, such as your username and password, phone number, real estate license number, and profile picture. We may also collect information available from MLS, including the listed buying or listing agent and details regarding a listed property. Any information collected from MLS is governed by the privacy policy of MLS available at https://www.mls.com/Home/PrivacyPolicy.mvc. In addition, we may collect information regarding your use of the Website through the use of cookies (described below), and information from other sources such as our business partners. Such other information may include, but is not limited to, the date and time of your visit, your IP address, your browser type, your operating system and language, the pages you visited, and the address of the website from which you came.

We do not intend to transfer your Personal Information to any third parties without your consent, except under the limited conditions described under the section entitled "Use and Disclosure of Information" below.

When you authorize Offerwell to send email using your Google or Google Workspace account (for example through OAuth), we also receive categories of Google user data as described in the section entitled "Google Workspace and Google User Data" below.

GOOGLE WORKSPACE AND GOOGLE USER DATA

Today, Offerwell's Google integration is limited to sending email on your behalf through the Google or Google Workspace account you authorize. This section describes how we access, use, store, share, and protect Google user data for that purpose. It supplements the rest of this Privacy Policy. Capitalized terms not defined here have the meanings given above.

Information we collect from Google

We collect Google user data only within the OAuth scopes and Google API permissions you approve when you connect your account for send-on-behalf functionality. That may include:

  • Account and profile information for the connected Google or Workspace identity, such as your name, email address, and profile image, so we can confirm who is sending and present the correct send-from address in Offerwell;
  • Send-related technical data returned by Google's APIs when you send a message, such as delivery identifiers or success and error responses needed to confirm transmission or troubleshoot failures;
  • Technical and security information needed to operate the integration, such as OAuth access and refresh tokens and diagnostic or error logs.

We do not use this integration to read, search, index, download, or sync your Gmail inbox, Google Calendar, or Google Drive. If we introduce additional Google features in the future, we will update this Privacy Policy and, where required, seek appropriate authorization before accessing new categories of Google user data.

How we use Google user data

We use Google user data only to send email you initiate or schedule in Offerwell from the Google or Workspace mailbox you connect, to display accurate account and send-from information in the product, and to maintain the security and reliability of the integration, in accordance with the Google API Services User Data Policy, including the Limited Use requirements, and to comply with applicable law. Google user data is not used for generalized marketing analytics, building unrelated commercial profiles, or purposes that would violate Limited Use.

Sharing and subprocessors

We may share Google user data with service providers and subprocessors that process information on our behalf to host, secure, operate, or support Offerwell, subject to confidentiality and security obligations consistent with this Privacy Policy and applicable law. We do not sell Google user data. We do not share Google user data with advertisers, data brokers, or third parties for their own independent marketing or interest-based advertising. We do not disclose Google user data for purposes prohibited by the Google API Services User Data Policy. We may disclose Google user data when required by law or to protect our rights or the rights or safety of others, consistent with the "Use and Disclosure of Information" section below.

Uses we do not make of Google user data

We do not use Google user data for targeted advertising, personalized ads on third-party properties, selling personal information to data brokers, determining creditworthiness, lending decisions, or training generalized artificial intelligence or machine learning models where such use is not permitted under the Google API Services User Data Policy and Limited Use requirements for the applicable APIs.

How we protect Google user data

We apply the technical, administrative, and organizational safeguards described under "Information Security" below, including access controls and encryption appropriate to the sensitivity of the data, to protect Google user data in our systems and during transmission.

The use of raw or derived user data received from Google APIs (including Workspace APIs where applicable) for email sending adheres to the Google API Services User Data Policy, including the Limited Use requirements.

NO COLLECTION OF CHILDREN'S PERSONALLY IDENTIFIABLE INFORMATION

Our Website is intended for general audiences at least 18 years old and for commercial use. We do not knowingly collect any Personal Information from children under the age of eighteen (18). By using the Website you certify that you are over the age of 18. We reserve the right to delete any information we believe to be in violation of this Privacy Policy.

USE AND DISCLOSURE OF INFORMATION

Our uses and disclosures of Personal Information may include, but will not be limited to, providing information and services that you may have requested or for which you have contracted with us, performing data analytics on Personal Information, such as creating sets of real estate listings organized by zip code, managing and improving our Website, diagnosing problems with our server, assisting with technical problems, and enforcing compliance with this Privacy Policy. We may share Personal Information with others that subscribe to our services and/or business partners. We may disclose information to comply with any legal or regulatory obligation and to protect our rights or the rights or safety of others. We may also disclose your Personal Information to prospective service providers or business partners that assist us in providing services requested by you. If Offerwell is involved in a merger, acquisition, or any form of transfer or sale of some or all of Offerwell, whether as part of a bankruptcy, liquidation, or similar proceeding, Personal Information may be transferred along with the business as part of any such transaction.

We do not sell or share your Personal Information with anyone outside Offerwell without your consent, unless we are required to do so by law or as provided in this Privacy Policy.

We firmly assure you that we do not engage in the practice of acquiring or utilizing your clients or their data. Your business relationships remain strictly yours when you use our services. This commitment extends to how we handle the personal information you trust us with, ensuring it is used solely to enhance your experience with our platform.

Google user data obtained through Google Workspace or other Google APIs is governed by the "Google Workspace and Google User Data" section above, including limits on analytics, sharing, and advertising-related uses. The general uses described in the first paragraph of this section describe our practices for Personal Information overall but do not expand the permitted uses of Google user data beyond what that section and Google's applicable policies allow.

GOOGLE USER DATA: RETENTION AND DELETION

When you authorize Offerwell to send email using your Google or Google Workspace account, we retain Google user data only for as long as needed to provide that send-on-behalf capability, to maintain the security and integrity of our services, and to meet legal, regulatory, or contractual requirements. When those purposes no longer apply, or when you revoke Offerwell's access to your Google account or delete your Offerwell account, we delete or irreversibly de-identify Google user data in our systems within a reasonable period, except where a longer retention period is required or permitted by law.

You may request access, correction, or deletion of personal information we hold about you, including information we received from Google, by contacting us at the address and email listed under "Questions and Contact Information" below. We will respond to verified requests consistent with applicable law and our technical capabilities.

COOKIES

When you access our Website, we may place a "cookie" on your device. A cookie is a file that a website can store on your web browser, computer, or device and later retrieve. A cookie allows our Website to recognize you as a prior user, provide our Website with information regarding your use, and helps us determine the portions of our Website that are best suited for you.

Information we receive from Google APIs for the email-sending integration is not used to deliver interest-based advertising through cookies or similar technologies as described in this section.

Cookies set by the website you are visiting are normally referred to as "first-party cookies," and typically only track your activity on that particular site. Cookies set by other sites and companies (i.e., third parties) are called "third-party cookies," and can be used to track you on other websites that use the same third-party service.

Cookies we use can be categorized as one of the following: (i) Essential Functionality Cookies and, (ii) Statistics Cookies. Essential Cookies are crucial to your experience of a website, enabling core features like user logins, account management, and payment processing. Statistics Cookies help website owners understand how visitors interact with websites by collecting and reporting information anonymously.

In addition to the above, we may employ third-party companies and individuals for our Website— for example, analytics providers and content partners. We grant these third parties access to selected information to perform specific tasks on our behalf. They may also set third-party cookies in order to deliver the services they are providing. Third-party cookies can be used to track you on other websites that use the same third-party service. As we have no control over third-party cookies, they are not covered by our Privacy Policy.

If you do not wish to accept cookies from us, you can instruct your browser to refuse cookies from our Website. Most browsers are configured to accept cookies by default, but you can update these settings to either refuse cookies altogether, or to notify you when a website is trying to set or update a cookie. If you browse websites from multiple devices, you may need to update your settings on each individual device.

Although some cookies can be blocked with little impact on your experience of a website, blocking all cookies may mean you are unable to access certain features and content across the sites you visit.

You may choose whether to receive some interest-based advertising by submitting opt-outs. Some of the advertisers and service providers that perform advertising-related services for us and third parties may participate in the Digital Advertising Alliance's ('DAA') Self-Regulatory Program for Online Behavioral Advertising. Some of these companies may also be members of the Network Advertising Initiative ('NAI'). Please be aware that, even if you are able to opt out of certain kinds of interest-based advertising, you may continue to receive other types of ads. Opting out only means that those selected NAI/DAA members should no longer deliver certain Interest-based Advertising to you, but does not guarantee that you will no longer receive any targeted content and/or ads (e.g., from other advertising networks). Also, if your browsers are configured to reject cookies when you visit these opt-out websites, you subsequently erase your cookies, use a different device or web browser or use a non-browser-based method of access (e.g., mobile app), or you shut down or restart your device or browser, your NAI / DAA browser-based opt-out may not, or may no longer, be effective.

WEB BEACONS

We may use pixel tags (also known as pixel gifs or web beacons) and other methods to gather information about the emails we send. Pixel tags are tiny graphic files that are included in our HTML-encoded email messages. When such a message is opened in an HTML-capable email program, the recipient's computer will access our servers to retrieve the pixel tag file, allowing us to record and store information such as email address, date and time the recipient viewed the email message, if the recipient's email program is capable of receiving HTML, and other logging information. We may use this information to optimize delivery of future messages to specific recipients.

ONLINE TRACKING / DO NOT TRACK SIGNALS

"Do Not Track" (DNT) signals are options available on your browser to tell operators of websites that you do not wish to have your online activity tracked. Our Website is not currently set up to respond to these signals. If you choose to block cookies and other trackers, certain features of the Website may not work. On a mobile device, you may also be able to adjust your settings to limit ad tracking.

WE OPERATE IN THE UNITED STATES

If you use the Website outside of the United States or are a citizen or resident of a country other than the United States that has laws and policies governing the disclosure and management of your Personal Information, you understand and agree that the information you exchange with the Website may be stored and processed in the United States for as long as needed for the purposes described in this Privacy Policy, including the "Google User Data: Retention and Deletion" section for Google user data, on systems located within the United States or the systems of those third parties with whom we share it as described in this Privacy Policy that are located in the United States. By using the Website, you understand and consent to the collection, storage, processing, and transfer of your information to our facilities in the United States and those third parties with whom we share it as described in this Privacy Policy located in the United States.

INFORMATION SECURITY; NO LIABILITY

We strive to protect your Personal Information; however, we urge you to take every precaution to protect your Personal Information when you are on the internet.

We will maintain reasonable technical, administrative and organizational measures in order to protect and safeguard your information. Unfortunately, information transferred over the internet is not completely secure. Accordingly, we do not guarantee that your information will not be misused or disclosed to third parties. You acknowledge and agree that any transmission of information to our Website is made at your own risk. We will have no liability to you for any misuse or disclosure of your information. If you share information with third parties via our Website, you do so at your own risk. Any such information you share with the third party will not be governed by this Privacy Policy and we have no liability to you with respect to such information.

You understand that electronic communications may be accessed by unauthorized parties when communicated across the internet, network communications facilities, or other electronic means. You understand and agree that we are not responsible for any electronic communication or any of your information which may be lost, altered, intercepted, or stored without authorization during the transmission of any data whatsoever across networks not owned or operated by us.

CHANGES

We may update this Privacy Policy from time to time. When we do, we will revise the "last updated" date at the bottom of this page. Material changes apply to information we already hold only where required by law; otherwise, changes apply to information collected after the revised policy takes effect unless we notify you or obtain consent where required.

If you continue to use the Website or provide Personal Information to us after we change this Privacy Policy, that signifies your consent to such changes and your use of the Website will be subject to the terms set forth in the most recent version of the Privacy Policy.
